Our 90-Day Launch Partnership programs are governed by specific partnership agreements that include:

• Defined scope of services (minimum 2 agents)
• Success metrics and KPIs
• Pricing and payment terms (20% discount during Launch Partnership)
• One-time setup investment per agent
• Performance guarantees
• Confidentiality obligations

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. Active clients will be notified of material changes with reasonable advance notice.

4. Intellectual Property

4.1 Our Property

SOPs, scripts, and documentation created specifically for your business during service engagement are your property. Our general processes, training methods, and operational frameworks remain our intellectual property.

7. Payment Terms (For Clients)

For active service clients:

• Invoicing: Monthly invoices issued at end of service period
• Payment Terms: Net 15 days unless otherwise agreed
• Late Payments: Service may be suspended for accounts 30+ days overdue
• Disputes: Notify us within 10 days of invoice receipt
• Refunds: Per service agreement terms; generally no refunds for services rendered

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information:

• Business strategies, processes, and customer data are confidential
• We sign NDAs with all clients before service engagement
• Confidentiality obligations survive termination of services
• Exceptions: Information already public or independently developed

9. Term & Termination

9.1 Website Access

We may restrict or terminate your access to our website at any time for violation of these terms or other reasonable cause.

9.2 Service Termination

Service engagements are governed by individual agreements. Generally:

• Either party may terminate with 30 days written notice
• No penalties for termination during or after Launch Partnership period
• Client data returned or deleted per your instructions
• Outstanding invoices remain due

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

10.2 Dispute Process

In the event of a dispute:

1. Both parties will attempt good-faith negotiation for 30 days
2. If unresolved, disputes may be submitted to mediation
3. If mediation fails, disputes will be resolved through binding arbitration
4. Each party bears its own costs unless otherwise awarded

11. General Provisions

11.1 Entire Agreement

For website use, these Terms constitute the entire agreement. For service clients, these Terms are supplemented by your Service Agreement, which takes precedence in case of conflict.

11.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.

11.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

11.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations to affiliates or in connection with a merger or acquisition.

11.5 Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
